1. Parties and business-only scope
These Terms are between Ferhat Canberk Döğer (sole proprietorship, trading as ZenitERP), ESBİS: 1001549, Büyükçekmece Tax Office / VKN 3110172344, Cumhuriyet Mah. D-100 Karayolu Cad. ADM Konaklama Outlet Park AVM No: 374 İç Kapı No: 63, Büyükçekmece / Istanbul, Türkiye (“Zenit”) and the customer company named in registration or the written order confirmation (“Customer”). ZenitERP is currently offered only to customers established in Türkiye and acting for business or professional purposes. The accepting person confirms authority to bind the company. Registration and a price calculation do not create an order or payment obligation; the agreement is formed when Zenit issues a written order confirmation.
2. Service and accounts
Apps are available separately or as the Zenit ERP bundle. Office apps are priced per user; Human Resources and Payroll are priced per active employee. Accounting is purchased with Invoicing, and Payroll with Human Resources. Each user must have an individual account; account sharing is prohibited. Customer manages permissions, removes leavers and maintains the purchased quantities.
API use is subject to reasonable use and 600 requests per minute per API key. Illegal content, unauthorised scanning, bypassing security or tenant isolation, malicious code, resale and using the service to make solely automated legal or similarly significant decisions are prohibited.
3. Trial, fees and renewal
The seven-day trial requires no card. If no subscription begins, the account remains read-only for 60 days: viewing and export remain available, but data cannot be changed. Trial data is deleted after advance reminders.
Prices are in Turkish lira, exclusive of VAT. Subscriptions are monthly or annual and paid in advance. Once iyzico card checkout is live, payment may be made on iyzico's hosted page; bank transfer to the account in the written order confirmation is available in the meantime and is due seven days from invoice. GİB e-document integration is not active. Additions during a term are charged for the remaining days; reductions take effect in the next term.
Subscriptions do not renew automatically. If Customer does not buy a new term, service ends at the end of the paid term after a reminder. Started terms are non-refundable and carry no unused-time credit. Duplicate or erroneous payments are returned through the original payment channel.
4. Support and service level
Support is available at [email protected] on business days, 09:00–18:00 Istanbul time, with a target first response within one business day. Planned maintenance is announced at least 24 hours in advance where practicable. Monthly availability of 99.5% is a target, not an SLA or service-credit commitment. Planned maintenance, force majeure, Customer systems and third-party internet failures are excluded.
5. Data and intellectual property
Customer owns Customer Data. Zenit processes it only to provide and secure the service and follow documented instructions. Customer provides notices, manages access and establishes a lawful basis for uploaded data. Data can be exported during service and for 30 days after termination. Records that must be retained by law are separated; other service data is then deleted.
Zenit software, brands, designs and documentation belong to Zenit or its licensors. Customer receives only a non-transferable right to use the service during the subscription.
6. Liability and termination
Neither party is liable for unforeseeable indirect loss or loss of profit, revenue or opportunity. Zenit's aggregate contractual liability is capped at the fees paid by Customer in the 12 months before the event. Intent, gross negligence, death or personal injury and liability that cannot legally be limited are excluded from the cap.
A material breach may be terminated if not cured within 15 days after written notice. Either party may terminate without penalty if force majeure continues for more than 60 days. Material changes are notified 30 days in advance; Customer may terminate before they take effect.
7. Notices, law and jurisdiction

Turkish law applies. The Istanbul (Çağlayan) Courts and Enforcement Offices have jurisdiction between merchants, subject to mandatory jurisdiction rules. The English and German texts are provided for information; the Turkish text governs the agreement.
